1. About Leemi

Leemi is an AI-powered UX, UI, accessibility, and design audit platform that enables individuals, teams, and organizations to analyze digital interfaces and receive automated recommendations for improving usability, accessibility, visual consistency, and user experience.

Depending on the plan you choose, the Services may include:

Leemi continuously develops and improves its Services. Features may be added, modified, or removed without prior notice where permitted by applicable law.

2. Acceptance of These Terms

By accessing or using the Services, you represent and warrant that:

• You have read and understood these Terms.
• You have the legal capacity to enter into a binding agreement.
• You are authorized to use the Services.
• You agree to comply with these Terms and all applicable laws.

If you access the Services on behalf of a company, organization, educational institution, or other legal entity, you represent that you have the authority to bind that entity to these Terms. In such cases, references to "you" include both the individual user and the represented entity.

3. Eligibility

You may use the Services only if:

• You are at least the age of majority in your jurisdiction, or you have obtained all legally required permissions to use the Services.
• You are not prohibited from receiving the Services under applicable laws or sanctions.
• Your use complies with all applicable laws, regulations, and industry requirements.

Leemi reserves the right to refuse service where required by law or where we reasonably believe providing the Services would create legal, security, or operational risks.

To access certain features, you must create an account. You agree to provide information that is accurate, current, and complete and to keep such information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to notify Leemi promptly if you become aware of any unauthorized use of your account or any security breach.

You may not: create accounts using false identities; impersonate another person or organization; share login credentials in violation of your subscription plan; sell, lease, or transfer your account without our prior written consent; or circumvent account restrictions. Leemi is not responsible for losses arising from your failure to safeguard credentials.

6. Organization Workspaces

Certain subscription plans allow the creation of organization workspaces. Workspace administrators are responsible for inviting and managing members, assigning permissions, managing billing, controlling access to resources, and reviewing reports generated within the workspace.

Users invited to an organization acknowledge that workspace administrators may access content, reports, and account activity associated with the organization as permitted by the Services. Leemi is not responsible for disputes regarding access, ownership, or management of workspace data.

7. Subscription Plans

Leemi offers both free and paid subscription plans. Available features, usage limits, storage allowances, AI credits, integrations, and pricing are determined by the subscription selected.

Unless expressly stated otherwise, subscription fees are charged in advance, usage limits apply, and exceeding plan limits may require an upgrade or purchase of additional usage. Leemi reserves the right to modify plans, features, and pricing; changes to paid plans will apply at the start of the next billing cycle.

8. Billing and Payments

Paid subscriptions are billed using the payment method associated with your account. By purchasing a subscription, you authorize Leemi and its payment processors to charge the applicable fees, taxes, and any recurring subscription charges.

Unless otherwise stated, subscriptions renew automatically at the end of each billing period. You are responsible for maintaining accurate payment information. Failure to process payment may result in suspension or termination of paid features. Prices displayed do not include applicable taxes unless expressly stated.

9. Free Trials and Promotional Offers

Leemi may offer free trials, beta access, promotional credits, discounts, or limited-time offers. Unless otherwise specified, promotional offers have no cash value, may not be combined, free trials automatically expire, and continued use after a trial may require payment. Abuse of promotional offers may result in suspension of your account.

10. Refund Policy

Except where required by applicable law, subscription fees are non-refundable. Users are responsible for canceling recurring subscriptions before the next renewal date.

Refund requests may be considered on a case-by-case basis at Leemi's sole discretion, including situations involving duplicate charges, billing errors, or technical issues preventing reasonable use. The granting of one refund does not establish an obligation to provide refunds in future cases.

11. Acceptable Use

You agree to use the Services responsibly and lawfully. You must not:

• Use the Services for illegal activities or introduce malicious software.
• Attempt unauthorized access to systems, networks, or other user accounts.
• Reverse engineer, decompile, or disassemble the platform.
• Circumvent usage limitations or abuse APIs.
• Submit content that infringes intellectual property or violates privacy rights.
• Use the Services to create misleading, fraudulent, or harmful content.

12. User Responsibilities

You are solely responsible for the accuracy of information you submit; ensuring you have the legal right to analyze submitted websites, screenshots, design files, and other content; reviewing AI-generated recommendations before implementation; and complying with all applicable laws.

Leemi does not verify that users have authorization to submit all content for analysis. By submitting content, you represent and warrant that you possess all necessary rights, licenses, and permissions.

13. Customer Content

You retain ownership of all content, information, data, files, screenshots, images, URLs, documents, design assets, and other materials ("Customer Content") that you submit, upload, or make available through the Services. Leemi does not claim ownership of your Customer Content.

By submitting Customer Content, you grant Leemi a worldwide, non-exclusive, royalty-free, revocable (subject to technical limitations), limited license to store, process, and analyze your content using automated systems and AI, solely to generate reports, provide customer support, and perform disaster recovery. Leemi will not use your content for advertising or sell it to third parties.

14. Ownership of AI-Generated Reports

Reports, recommendations, visualizations, audit scores, accessibility findings, design analyses, summaries, and other outputs generated by the Services ("Generated Content") are created using automated systems. Subject to your compliance with these Terms, you may use Generated Content for internal business purposes, share with clients, and export reports.

Leemi retains ownership of the underlying AI systems, scoring methodologies, templates, algorithms, and software. Nothing in these Terms transfers ownership of Leemi's intellectual property to you.

15. Website Audits

By requesting a website audit, you represent and warrant that you own the website, or you have permission from the owner to perform the requested analysis, or you are legally permitted to analyze the publicly accessible website.

Leemi does not intentionally bypass authentication systems, CAPTCHAs, paywalls, or robots restrictions unless explicitly authorized through supported enterprise functionality. Users remain solely responsible for ensuring that submitted URLs may legally be analyzed.

16. Screenshot Processing

When screenshots are submitted or generated, Leemi may store them securely and process them using AI models to extract visual information and annotations. Screenshots are retained according to Leemi's data retention policies unless deleted by the user. Users should avoid submitting screenshots containing sensitive personal information.

17. Design File and Figma Integration

When you authorize integrations, you grant Leemi permission to access only the information reasonably necessary to provide the requested functionality, including frames, components, typography, layout structures, and tokens. Leemi does not intentionally modify files unless explicitly authorized. You may revoke integrations at any time.

18. AI Services and Automated Recommendations

You acknowledge and agree that AI systems may produce inaccurate or inconsistent information; recommendations should be independently reviewed; outputs are not professional legal, accessibility, or design certifications; and human judgment is required.

19. Feedback

If you voluntarily provide feedback, suggestions, or bug reports, you grant Leemi a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, and distribute that feedback into the Services without restriction or compensation.

20. Intellectual Property Rights

Except for Customer Content, all rights, title, and interest in the Services (including software, source code, user interface, logos, databases, and algorithms) remain the exclusive property of Leemi and its licensors. No ownership rights are transferred through your use of the Services.

21. License to Use the Services

Subject to these Terms, Leemi grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your internal business or personal purposes.

22. Restrictions

You agree not to copy, modify, reverse engineer, bypass security, circumvent usage limits, introduce malware, harvest user information, or misrepresent audits as official certifications. Violation may result in immediate suspension.

23. Third-Party Services

The Services may integrate with third-party products (authentication, payment, AI processing, cloud hosting). Leemi does not control these third-party services and is not responsible for their availability, security, or data handling.

24. API Access

API users agree to follow published documentation, respect rate limits, maintain credential security, and avoid abusive request patterns. Leemi may modify or limit API access at any time.

25. Service Availability

Leemi does not guarantee uninterrupted or error-free operation. Services may be unavailable during maintenance, outages, or force majeure events. Uptime commitments are only provided under enterprise SLAs.

26. Beta Features

Beta features are provided "as is," may contain bugs, change significantly, or be discontinued. Users assume all associated risks.

27. Privacy

Your privacy is important to Leemi. Our collection, use, storage, disclosure, and protection of personal information are governed by our Privacy Policy, which forms an integral part of these Terms.

28. Confidentiality

You agree not to disclose, reproduce, distribute, or use Leemi's non-public product, pricing, security, or business strategies (Confidential Information) except as necessary to use the Services. This obligation survives termination.

29. Security

Leemi implements commercially reasonable safeguards (encryption in transit/at rest, access controls, backups). No system is absolutely secure, and users are responsible for protecting account credentials.

30. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. LEEMI DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

31. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEEMI AND ITS AFFILIATES SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSECUENTIAL, OR PUNITIVE DAMAGES, LOSS OF PROFITS, REVENUE, OR DATA. LEEMI'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF THE TOTAL SUBSCRIPTION FEES PAID BY YOU DURING THE PRECEDING TWELVE MONTHS OR $100.

32. Indemnification

You agree to defend, indemnify, and hold harmless Leemi from and against any claims, liabilities, damages, losses, and expenses arising out of your use of the Services, Customer Content, violation of these Terms, or infringement of third-party rights.

33. Suspension of Services

Leemi may suspend or restrict access immediately if you violate these Terms, present a security risk, default on payment, or to comply with applicable laws.

34. Termination

You may terminate your account at any time. Leemi may suspend or terminate your account for material breaches, overdue payments, or discontinuance of the Services. Following termination, licenses end, content may be deleted, and core liability terms survive.

35. Force Majeure

Leemi shall not be liable for delay or failure resulting from causes beyond its reasonable control (natural disasters, utilities, internet outages, cyberattacks, or third-party service failures).

36. Export Compliance and Sanctions

You represent and warrant that you are not located in a restricted country, are not listed on government sanctions lists, and will comply with all export regulations.

37. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Leemi is incorporated, without regard to its conflict of law principles.

38. Dispute Resolution

Before formal proceedings, both parties agree to resolve disputes through good-faith informal negotiations. If unresolved, disputes will be settled in the courts of Leemi's principal place of business.

39. Changes to These Terms

Leemi may update these Terms to reflect product or regulatory updates. Continued use of the Services after effective revised Terms constitutes acceptance. If you disagree, you must stop using the platform.

40. Assignment

You may not delegate your rights or obligations under these Terms without consent. Leemi may assign or transfer these Terms in connection with corporate restructuring, mergers, or asset sales.

41. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Leemi regarding the Services and supersede all prior understandings.

42. Severability

If any provision of these Terms is held to be invalid, the remaining provisions shall remain in full force and effect to the maximum extent permitted by law.

43. No Waiver

Failure by Leemi to enforce any provision shall not constitute a waiver of that provision or of any other rights.
